We refer to the announcements dated 20 April 2017 and 19 May 2017 in relation to the Proposed Share Split. Unless otherwise defined, the definitions set out in the announcement dated 20 April 2017 shall apply herein.

On behalf of the Board, RHB Investment Bank wishes to announce that Bursa Securities had vide its letter date 8 June 2017, resolved to approve the following:-

1. Proposed Share Split;
2. Listing of and quotation of up to 259,725,882 Additional Warrants to be issued pursuant to the adjustments arising from the Proposed Share Split; and 
3. Listing of and quotation of up to 259,725,882 new KPJ Shares to be issued arising from the exercise of Additional Warrants.

The approval granted by Bursa Securities for the Proposed Share Split is subject to the following conditions:-

1. KPJ and RHB Investment Bank must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposed Share Split;
2. KPJ and RHB Investment Bank to inform Bursa Securities upon the completion of the Proposed Share Split;
3. KPJ to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Share Split is completed;
4. KPJ and RHB Investment Bank is required to make the relevant announcements pursuant to paragraph 6.56(2)(b)(ii) and (iii) and paragraph 13.10(2) of the Listing Requirements;
5. KPJ to furnish Bursa Securities with a certified true copy of the resolution passed by the shareholders at an EGM approving the Proposed Share Split prior to the listing and quotation of the Subdivided Shares; and
6. KPJ to furnish Bursa Securities on a quarterly basis a summary of the total number of shares listed pursuant to the exercise of Additional Warrants as at the end of each quarter together with a detailed computation of the listing fees payable.
