KPJ HEALTHCARE BERHAD ("KPJ" OR THE "COMPANY") (I) PROPOSED RENEWAL OF THE SHARE BUY-BACK AUTHORITY; AND (II) PROPOSED SHAREHOLDERS' MANDATE FOR THE RECURRENT RELATED PARTY TRANSACTIONS ("RRPT") OF A REVENUE OR TRADING NATURE
This announcement is dated 27 February 2017.
The Board of Directors of KPJ wishes to announce that KPJ proposes to seek its shareholders’ approval for the following proposals at the forthcoming Annual General Meeting of KPJ:-
Proposed renewal of shareholders’ mandate for the Company to enable KPJ to purchase up to ten percent (10%) of its issued share capital at any point in time ("Proposed Share Buy-Back"); and
Proposed shareholders’ mandate for the RRPT of a revenue and/or trading nature ("Proposed Shareholders’ Mandate").
In addition, the Board also wishes to announce a new RRPT in relation to rental payable by KFCH Education (M) Sdn Bhd, an indirect wholly-owned subsidiary of KPJ, to Al-Sal�?m Real Estate Investment Trust, for the lease of KFCH International College commencing on 1 May 2016, totalling RM1.89 million up to 31 January 2017 (being the latest practicable date prior to this announcement).
The Circular pertaining to the Proposed Share Buy-Back and Proposed Shareholders’ Mandate will be despatched to the shareholders of KPJ in due course.
