Description
KPJ HEALTHCARE BERHAD ("KPJ" OR "COMPANY")
(I) PROPOSED DISPOSAL; AND
(II) PROPOSED LEASEBACK
We refer to the earlier announcements in relation to the Proposals (“Earlier Announcements”) and the circular to shareholders dated 24 June 2015 (“Circular”).
Unless otherwise stated, defined terms in this announcement shall carry the same meanings as defined in the Earlier Announcements and the Circular.
On behalf of the Board of Directors of KPJ, AmInvestment Bank Berhad wishes to announce that the parties to the SSH SPA had exchanged letters to extend the completion period by an additional three (3) months to 27 December 2015. This is to allow time for the Memorandum of Transfer for SSH Land to be presented for registration at the relevant registry (“Registration”). The Registration is pending due to the relevant stamp duty office endorsement that the Memorandum of Transfer in respect of SSH Land is exempted from the payment of stamp duty pursuant to Stamp Duty (Exemption) (No. 4) Order 2004 which has yet to be obtained to-date.
