FIRST RIGHT OF REFUSAL TO ACQUIRE MENARA 238 BY AMANAHRAYA TRUSTEES BERHAD (AS TRUSTEE FOR AL-SALᾹM REAL ESTATE INVESTMENT TRUST(“AL-SALĀM REIT”))

Reference is made to the letter received from Damansara REIT Managers Sdn Berhad, being the manager of Al-Sal�?m REIT Investment Trust (“Al-Sal�?m REIT) dated 31 July 2015, requesting for First Right of Refusal to acquire Menara 238 being a property owned by Kumpulan Perubatan (Johor) Sdn Bhd (“KPJSB”), a wholly-owned subsidiary of KPJ.

KPJ hereby agrees to give the first right of refusal in the event KPJSB intends to sell, transfer or dispose of Menara 238, to Amanah Raya Trustees Berhad ("REIT Trustee"), as trustee of Al-Sal�?m REIT to purchase Menara 238 on behalf of Al-Sal�?m REIT subject to the terms and conditions to be mutually agreed by the REIT Trustee and Damansara REIT Managers Sdn Berhad and KPJSB.
