Description	KPJ HEALTHCARE BERHAD (“KPJ” OR THE “COMPANY”) (I) ESTABLISHMENT OF AN EMPLOYEES’ SHARE OPTION SCHEME OF UP TO 10.0% OF THE ISSUED AND PAID-UP SHARE CAPITAL OF KPJ (EXCLUDING TREASURY SHARES) AT ANY POINT IN TIME (“ESOS”); (II) RESTRICTED ISSUE VIA SECTION 132D OF THE COMPANIES ACT, 1965 OF UP TO 28,000,000 NEW ORDINARY SHARES OF RM0.50 EACH IN KPJ, REPRESENTING APPROXIMATELY 2.5% OF THE ISSUED AND PAID-UP SHARE CAPITAL OF KPJ, TO SELECTED RESIDENT CONSULTANTS OF KPJ GROUP (“RESTRICTED ISSUE”); AND (III) AMENDMENT TO THE ARTICLES OF ASSOCIATION OF KPJ (“AMENDMENT”) (COLLECTIVELY REFERRED TO AS THE “CORPORATE EXERCISES”)
The terms used herein shall, unless the context otherwise stated, bear the same meaning as those defined in the previous announcement made on 21 October 2014 in relation to the Corporate Exercises. We refer to the previous announcements dated 21 October 2014, 23 October 2014, 31 October 2014 and 25 November 2014 in relation to the Corporate Exercises. On behalf of the Board, RHB Investment Bank wishes to announce that the Board has fixed the issue price for the placement of up to 28,000,000 new Placement Shares at an issue price of RM3.64 per Placement Share pursuant to the Restricted Issue. The issue price represents a discount of approximately ten percent (10%) or RM0.404 to the five (5)-day volume weighted average market price of KPJ Shares up to and including 26 February 2015 of RM4.04, being the market day immediately preceding the price-fixing date. This announcement is dated 27 February 2015.
